Der deutsche Aufsichtsrat nimmt seine berwachungsaufgabe entsprechend den Regelungen des Deutschen Corporate Governance Kodex beratend und begleitend wahr. Gegenber der reinen Kontrollaufgabe, die sich aus dem deutschen Aktienrecht ergibt, bedeutet dies eine Ausweitung des Aufgabenspektrums und der Verantwortung. Folgerichtig hat sich auch die Vergtung, die sich an den Aufgaben und der Verantwortung des Aufsichtsrats orientieren soll, angepasst. Trotz der genderten Anforderungen scheint eine variable Vergtung des Aufsichtsrats ohne geeignete Bemessungsgrundlage jedoch nicht zweckadquat.
