Die Arbeit untersucht Grund und Grenzen der Dispositionsbefugnis der Gesellschafter ber das GmbH-Vermgen im Rahmen der sog. Organuntreue. Der normative Zusammenhang zwischen der juristischen Person und ihren natrlichen Hinterleuten wird in einem neuartigen und grundlegenden Zugang in seinem spezifisch gesellschaftsrechtlichen Kontext in Beziehung zu rechtsphilosophischen Begrndungszusammenhngen gesetzt, indem in Abgrenzung zu insbesondere systemtheoretischen und konomischen Anstzen die Grundbegriffe Person, Institution und Korporation unabhngig von kontingenten funktionalistischen und wirtschaftlich-utilitaristischen Erwgungen ber ein freiheitlich-intersubjektives Anerkennungsverhltnis bestimmt werden. Die Grenze einer Dispositionsbefugnis der GmbH-Gesellschafter wird dabei ber eine unternehmensbezogene teilhabegerechtigkeitstheoretische Aktualisierung der Kantischen Privatrechtslehre entwickelt.
