Die aktuelle Rechtspraxis der aktienrechtlichen Vorstandshaftung lautet: Der Vorstand haftet streng, aber selten. Beide Befunde fhren dabei aus konomischer Sicht zu Fehlanreizen, sodass die Organhaftung nicht die ihr zugedachte Prventionswirkung entfalten kann. Michael Dose schlgt vor, diese Fehlanreize durch drei Rechtsnderungen zu korrigieren. Zunchst sollte die Haftungsdurchsetzung durch eine Reform der Aktionrsklage nach 148 AktG gestrkt werden. Im Gegenzug muss die Vorstandshaftung summenmig auf den Betrag der D&O-Versicherung begrenzt werden. Das erlaubt schlielich auch, die eigenstndige Versicherung des Selbstbehalts wenigstens teilweise zu verbieten.
